These Terms & Conditions (“Terms”) govern your access to and use of the AVR Solutions website (the “Site”) and any consulting, project management, coaching, or advisory services we provide (the “Services”). By using the Site or Services, you agree to these Terms.

2) Scope of Services

AVR provides project management consulting and related advisory services. Specific scope, deliverables, timelines, and fees will be set out in a written proposal, statement of work (“SOW”), or service agreement. If there is a conflict between these Terms and an SOW/service agreement, the SOW/service agreement controls.

3) No Professional Advice Disclaimer

Unless explicitly stated in writing, AVR does not provide legal, tax, or accounting advice. Any information provided is for general operational/management purposes and should not be relied upon as professional advice. You should consult qualified professionals for legal/tax/accounting matters.

4) Client Responsibilities

To help AVR perform the Services effectively, you agree to:

Provide accurate information and timely access to relevant materials

Assign a point of contact with decision authority (or escalation path)

Participate in scheduled meetings and reviews

Respond to requests within a reasonable timeframe

Delays caused by incomplete information or missed approvals may affect timelines and outcomes.

5) Fees, Invoicing, and Payments

Fees and payment terms are stated in the applicable proposal/SOW. Unless otherwise stated:

Invoices are due [upon receipt / within 7 / 14 / 30 days]

attaching a card or payment method may be required for recurring services

late payments may result in paused work and/or late fees as permitted by law

6) Cancellations, Rescheduling, and Refunds

Consultations / calls: Must be rescheduled or cancelled at least [24/48] hours in advance to avoid a missed-appointment fee of [$__] (if applicable).

Service retainers / project fees: Refunds, if any, are governed by the proposal/SOW. Work completed is non-refundable.

7) Intellectual Property

A. AVR Materials

AVR retains ownership of any pre-existing methods, frameworks, templates, tools, and know-how used to provide Services (“AVR Materials”). We grant you a limited, non-exclusive, non-transferable license to use AVR Materials solely for your internal business purposes related to the engagement.

B. Client Materials

You retain ownership of content and materials you provide to AVR (“Client Materials”). You grant AVR a limited license to use Client Materials to perform the Services.

C. Deliverables

Unless otherwise stated in the proposal/SOW, upon full payment AVR grants you a license to use the deliverables for your internal business purposes. Redistribution, resale, or publication may require written permission.

8) Confidentiality

Both parties may exchange confidential information. Each party agrees to protect the other’s confidential information using reasonable care and to use it only for purposes of the engagement. Confidentiality obligations do not apply to information that is publicly available, independently developed, or disclosed under legal compulsion.

9) Website Use Rules

You agree not to:

misuse the Site, attempt unauthorized access, or disrupt functionality

upload malicious code or conduct abusive/illegal activity

copy or scrape Site content beyond personal, non-commercial use

We may restrict access if we believe there is misuse or security risk.

10) Third-Party Tools and Links

The Site or Services may reference third-party tools (e.g., scheduling, CRM, analytics, payment processors) or contain links to third-party websites. AVR is not responsible for third-party content, policies, or performance.

11) Disclaimer of Warranties

THE SITE AND SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” AVR DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. AVR DOES NOT GUARANTEE ANY SPECIFIC OUTCOME OR RESULT.

12) Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AVR WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES (INCLUDING LOST PROFITS, LOST REVENUE, OR BUSINESS INTERRUPTION), EVEN IF ADVISED OF THE POSSIBILITY. AVR’S TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATED TO THE SITE OR SERVICES WILL NOT EXCEED THE AMOUNT PAID TO AVR FOR THE SERVICES GIVING RISE TO THE CLAIM IN THE [3/6/12] MONTHS PRECEDING THE EVENT.

Some jurisdictions do not allow certain limitations; in those cases, liability is limited to the extent permitted by law.

13) Indemnification

You agree to indemnify and hold harmless AVR from claims, damages, liabilities, and expenses arising from your misuse of the Site, violation of these Terms, or infringement caused by Client Materials you provide.

14) Termination

We may terminate or suspend access to the Site at any time for security or policy reasons. Engagement termination terms (including wind-down and payment obligations) are governed by the proposal/SOW. If not specified, either party may terminate with [7/14/30] days written notice.

15) Governing Law and Venue

These Terms are governed by the laws of the Virginia, without regard to conflict of law principles. Any dispute will be brought in the state or federal courts located in Henrico County, Virginia, unless otherwise agreed in writing.

16) Changes to These Terms

We may update these Terms periodically. The “Last Updated” date reflects the current version. Continued use of the Site after changes means you accept the updated Terms.
